TERMS OF SERVICE

1. ACCEPTANCE

By creating an account or using Shredder (shredder.nextgennoise.com), you agree to these Terms of Service. If you don't agree, don't use the service. These terms form a legally binding agreement between you and NextGen Noise / Graylight Creative.

2. THE SERVICE

Shredder is an AI-powered music practice tool that provides:

• • Stem isolation (separating instruments from mixed audio)
• • Loop and slow-down functionality
• • Pitch/key transposition
• • AI-powered chord detection
• • A Spark-based economy for accessing features

We reserve the right to modify, suspend, or discontinue any part of the service at any time with reasonable notice where possible.

3. ACCOUNTS & ELIGIBILITY

You must be at least 13 years old to use Shredder. By registering, you confirm you meet this requirement. You are responsible for maintaining the security of your account credentials and for all activity under your account.

4. SPARKS & PAYMENTS

Sparks are virtual credits used within Shredder and across NextGen Noise products. By purchasing Sparks:

• • You authorize us to charge your payment method via Stripe.
• • Sparks are non-refundable once purchased, except where required by law.
• • Sparks have no cash value and cannot be transferred between accounts.
• • Sparks do not expire while your account is in good standing.
• • We reserve the right to adjust Spark pricing or costs at any time with notice.

5. CONTENT & COPYRIGHT

You are responsible for the audio content you submit. By using Shredder you represent and warrant that:

• • You have the right to process the audio content you submit (personal use, fair use, or proper licensing).
• • You will not use Shredder to infringe on copyright, distribute pirated content, or create unauthorized commercial derivatives.
• • Processed stems are for your personal practice and educational use.

We are not responsible for how you use processed stems. Copyright compliance is your responsibility.

6. PROHIBITED USES

You may not use Shredder to:

• • Violate any law or regulation
• • Infringe intellectual property rights
• • Attempt to reverse engineer, scrape, or circumvent platform security
• • Resell or commercialize processed stems without authorization
• • Use automated systems to abuse the Spark economy or extraction pipeline
• • Upload malicious files or attempt to attack the service

7. INTELLECTUAL PROPERTY

The Shredder platform, including its branding, UI, and codebase, is owned by Graylight Creative / NextGen Noise. You are granted a limited, non-exclusive, non-transferable license to use the service for personal practice. You retain ownership of any original audio you submit.

8. DISCLAIMER OF WARRANTIES

Shredder is provided "as is" without warranty of any kind. We do not guarantee uninterrupted availability, stem quality, or that the service will meet your specific requirements. AI audio processing has limitations and results may vary by recording quality and instrumentation.

9. LIMITATION OF LIABILITY

To the maximum extent permitted by law, NextGen Noise / Graylight Creative shall not be liable for indirect, incidental, special, or consequential damages arising from your use of Shredder. Our total liability to you shall not exceed the amount you paid us in the 12 months preceding the claim.

10. TERMINATION

We may suspend or terminate your account for violations of these terms. You may terminate your account at any time by contacting support. Upon termination, unused Sparks are forfeited and your processed content may be deleted.

11. GOVERNING LAW

These terms are governed by the laws of the United States. Any disputes will be resolved in the applicable jurisdiction. If any provision of these terms is found unenforceable, the remaining provisions remain in full effect.
